1. Acceptance of Terms

By accessing or using the K&H Synergy Media website or any services we provide, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.

2. Description of Services

K&H Synergy Media provides the following services to businesses:

• Social media management and content creation
• AI-powered workflow automation using multi-agent systems
• Cinematic website creation and management
• Speed-to-lead conversion automation and email management
• Access to a client dashboard for managing AI agent teams

The specific services included in your plan are defined in your service agreement or the pricing tier you selected at checkout.

3. AI Services Disclaimer

Our services use large language models and AI systems, including Anthropic’s Claude models and AI video and image generation tools. You acknowledge and agree that:

• AI-generated content (text, images, video) may contain errors, inconsistencies, or information that requires human review before publication or business use.
• We do not guarantee that AI outputs will be accurate, complete, or suitable for any particular purpose.
• You are solely responsible for reviewing, approving, and taking legal responsibility for any AI-generated content published or used on your behalf.
• We operate under Anthropic’s acceptable use policy. We will not use AI systems to generate content that is harmful, illegal, or violates third-party rights.
• AI capabilities and model availability may change over time. We reserve the right to substitute equivalent AI models as the technology evolves.

4. Account Registration

To access the client dashboard, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hector@khsynergymedia.com of any unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these terms.

5. Payment Terms

All payments are processed through Stripe. By subscribing to a service plan, you authorize us to charge your payment method on a recurring monthly basis. Additional payment details, cancellation policies, and refund terms are covered in our Billing Policy, which is incorporated into these terms by reference.

Prices are stated in US dollars. We reserve the right to adjust pricing with at least 30 days’ notice to existing clients via email.

6. Client Responsibilities

As a client, you agree to:

• Provide accurate business information, brand assets, and content guidelines needed for us to perform services effectively.
• Review and approve AI-generated content before it is published to your audience.
• Ensure that any materials you provide to us (logos, copy, images) do not infringe third-party intellectual property rights.
• Not use the client dashboard or AI agent capabilities to generate content that is illegal, deceptive, harassing, or in violation of applicable law.
• Maintain the security of your account credentials and not share access with unauthorized parties.

7. Intellectual Property

Content created by our team and AI systems on your behalf, once fully paid for, belongs to you. We retain the right to reference your project as part of our portfolio unless you request otherwise in writing.

The K&H Synergy Media website, dashboard software, and underlying system architecture remain our intellectual property. You may not copy, reverse-engineer, or resell any part of our platform.

8. Acceptable Use

You may not use our services to:

• Violate any applicable local, state, federal, or international law or regulation
• Generate spam, phishing content, or deceptive marketing materials
• Produce content that defames, harasses, or threatens any individual or group
• Attempt to gain unauthorized access to our systems or any third-party systems
• Circumvent, disable, or interfere with security features of the platform

Violation of these acceptable use rules may result in immediate termination of your account without refund.

9. Limitation of Liability

To the fullest extent permitted by law, K&H Synergy Media and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from:

• Your use of or inability to use our website or services
• Any errors or inaccuracies in AI-generated content
• Unauthorized access to or alteration of your data
• Third-party service outages (Supabase, Stripe, Anthropic, fal.ai, etc.)

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Disclaimer of Warranties

Our website and services are provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

11. Governing Law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Polk County, Florida. You consent to the exclusive jurisdiction and venue of those courts.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. We will notify active clients of material changes via email at least 14 days before the changes take effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
